1. Scope and Acceptance

These Terms and Conditions (“Terms”) govern the use of the desktop software and related services (“Software”) provided by MatLytics (“Company”, “we”, “us”).

By downloading, installing, accessing, or using the Software, the customer (“Customer”, “you”) confirms that it is acting as a business entity and agrees to be bound by these Terms.

These Terms apply exclusively to B2B customers. Consumer protection laws do not apply.


2. Description of the Software

  • The Company provides a commercial desktop software for professional and business use.
  • The Software is provided as a license, not a sale.
  • No specific functionality, availability, performance, or result is guaranteed unless explicitly agreed in writing.

3. License Grant

Subject to payment of applicable fees, the Company grants the Customer a:

  • non-exclusive
  • non-transferable
  • non-sublicensable
  • limited license

to install and use the Software solely for internal business purposes, in accordance with these Terms.


4. License Restrictions

The Customer shall not:

  • copy, modify, or create derivative works of the Software
  • reverse engineer, decompile, or disassemble the Software
  • rent, lease, sell, sublicense, or distribute the Software
  • remove copyright or proprietary notices
  • use the Software to provide services to third parties, unless explicitly agreed

5. Fees and Payment

  • The Software is provided on a paid basis.
  • Fees, payment terms, billing cycles, and license duration are defined in the applicable order, offer, or contract.

Unless otherwise stated:

  • Fees are exclusive of taxes
  • Payments are non-refundable
  • Late payments may result in suspension or termination of the license

6. Customer Obligations

The Customer is responsible for:

  • ensuring suitable hardware and system requirements
  • lawful use of the Software
  • maintaining the security of license keys and access credentials
  • compliance with applicable laws and regulations

7. Intellectual Property

All rights, title, and interest in and to the Software, including all intellectual property rights, remain exclusively with the Company.
No rights are granted except as expressly stated in these Terms.


8. Data Protection

  • Personal data is processed in accordance with the Privacy Policy.
  • Where the Company processes personal data on behalf of the Customer, a Data Processing Agreement (DPA) shall apply.

9. Updates and Changes

  • The Company may provide updates, patches, or new versions at its discretion.
  • The Company reserves the right to modify or discontinue features, provided that the core functionality is not materially reduced without cause.

10. Warranty Disclaimer

  • The Software is provided “AS IS” and “AS AVAILABLE”.
  • To the maximum extent permitted by law, the Company disclaims all warranties, whether express or implied, including but not limited to:
    • merchantability
    • fitness for a particular purpose
    • non-infringement
    • accuracy of results
  • The Company does not warrant that the Software will be error-free or uninterrupted.

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Company shall not be liable for indirect, incidental, consequential, or special damages.
  • This includes loss of profit, data, business, or goodwill.
  • The Company’s total liability shall be limited to the fees paid by the Customer in the 12 months preceding the claim.

12. Indemnification

The Customer agrees to indemnify and hold harmless the Company from claims arising out of:

  • misuse of the Software
  • violation of these Terms
  • violation of applicable laws

13. Term and Termination

  • These Terms remain in effect for the duration of the license.
  • The Company may terminate the license immediately if the Customer breaches these Terms.

Upon termination:

  • all usage rights cease
  • the Software must be uninstalled
  • outstanding fees remain payable

14. Export Control

The Customer agrees to comply with applicable export control and sanctions laws, including EU and U.S. regulations.


15. Governing Law and Jurisdiction

Unless otherwise agreed:

  • EU customers: Laws of Germany, courts of Düsseldorf
  • U.S. customers: Laws of the State of [State], excluding conflict-of-law rules

The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.


16. Changes to These Terms

The Company may update these Terms from time to time.
Material changes will become effective upon notice or publication.
